These Terms of Service govern your access to and use of the CTRL Vision system, including our AI-powered camera hardware, application, website, and all related services.
These Terms of Service ("Terms") constitute a legally binding agreement between you and CRL Sports Inc., a Delaware C-Corporation doing business as CTRL Vision ("Company," "we," "us," or "our"). These Terms govern your access to and use of the CTRL Vision system, including our AI-powered camera hardware, the CTRL Vision software application, the website located at ctrl.vision (the "Platform"), and all related services, features, content, and functionality (collectively, the "Services").
CTRL Vision provides AI-powered camera systems designed for installation in bowling alleys and snooker halls. Our cameras record video activity at lanes and tables, process that footage using proprietary artificial intelligence algorithms, and generate highlights, analytics, and other content accessible through our Platform.
BY PURCHASING, INSTALLING, ACCESSING, OR USING ANY PART OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
The following defined terms apply throughout these Terms:
"Analytics" means the statistical data, performance metrics, and insights generated by our AI systems from the processing of Footage.
"Application" or "App" means the CTRL Vision software application available for download and use on compatible devices, used to configure, manage, and interact with the System.
"Camera" or "Camera System" means the CTRL Vision AI-powered camera hardware unit, including all integrated components such as Raspberry Pi computing modules, Arducam image sensors, M12 lenses, and associated cables, mounts, and peripherals.
"Content" means all Footage, Highlights, Analytics, and any other data or media generated through or in connection with the Services.
"End User" means any individual who is recorded by the Camera System, accesses Highlights or Analytics through the Platform, or otherwise uses the Services in connection with their activities at a Venue.
"Footage" means the raw video recordings captured by the Camera System.
"Highlights" means the edited, processed, or curated video clips generated by our AI systems from Footage.
"Order" means a purchase order for Camera hardware and/or Subscription services submitted by a Venue Operator.
"Platform" means the CTRL Vision website located at ctrl.vision and all associated web-based tools, dashboards, and interfaces.
"Subscription" means the recurring monthly service plan that provides access to the Platform, cloud processing, AI analytics, and related software features.
"System" means the complete CTRL Vision solution, including the Camera hardware, Application, Platform, cloud processing infrastructure, and AI algorithms, functioning together as an integrated service.
"Venue" means the bowling alley, snooker hall, or other recreational facility where the Camera System is installed and operated.
"Venue Operator" means the business entity or individual that purchases the Camera System and Subscription from CTRL Vision and operates the System at a Venue. The Venue Operator is the direct customer of CTRL Vision.
These Terms become binding upon the earliest of: (a) your placement of an Order for any Camera hardware; (b) your activation of a Subscription; (c) your download or use of the Application; (d) your creation of an account on the Platform; or (e) your use of any part of the Services in any capacity, whether as a Venue Operator or End User.
By agreeing to these Terms, you represent and warrant that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, and that you have the legal capacity and authority to enter into a binding contract. If you are agreeing to these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and, where practicable, by sending notice to the email address associated with your account. Your continued use of the Services following the posting of modified Terms constitutes your acceptance of those modifications. If you do not agree to the modified Terms, you must discontinue use of the Services.
Certain features of the Services may be subject to additional terms, conditions, or policies, including our Privacy Policy, Acceptable Use Policy, and any Order-specific terms. Where additional terms apply, they are incorporated into these Terms by reference. In the event of a conflict between these Terms and any additional terms, the additional terms shall control with respect to the specific feature or service to which they relate.
To purchase Camera hardware and activate a Subscription, Venue Operators must create an account on the Platform. During registration, you must provide accurate, current, and complete information, including your legal business name, business address, contact information, and payment details. You agree to promptly update your account information to keep it accurate and current.
End Users may create accounts through the Application to access their Footage, Highlights, and Analytics. End User accounts are created in connection with use of the System at a participating Venue. End Users must provide accurate information during registration and agree to these Terms and the consent provisions described in Section 10.
The Services are not directed at children under the age of thirteen (13). Individuals under the age of eighteen (18) may only use the Services with the verified consent of a parent or legal guardian. The Application includes an age verification mechanism and a guardian consent workflow. Venue Operators are responsible for ensuring that minors do not use the System at their Venue without appropriate parental or guardian consent. By providing guardian consent, the parent or legal guardian agrees to these Terms on behalf of the minor and accepts full responsibility for the minor's use of the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at tom@ctrl.vision of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Venue Operator accounts may designate authorized users within their organization. The Venue Operator remains responsible for the actions of all authorized users and for ensuring their compliance with these Terms. Account credentials may not be shared with or transferred to any person or entity outside the Venue Operator's organization without our prior written consent.
The CTRL Vision Camera is an AI-powered video capture device designed for installation at bowling lanes and snooker tables. Each Camera unit incorporates computing hardware based on Raspberry Pi modules, image sensors manufactured by Arducam, M12-mount lenses sourced from Edmund Optics, and proprietary firmware and software developed by CTRL Vision. The Camera captures video during gameplay, stores it locally on the device, and uploads the Footage to our cloud processing infrastructure upon completion of the game session.
Camera pricing is determined on a per-Order basis using a linear sliding scale. The standard pricing structure is as follows: a single Camera unit is priced at $1,000.00 USD. Orders of twenty (20) or more Camera units are priced at $500.00 USD per unit. Orders between one and twenty units are priced on a linear interpolation between these two price points. Pricing applies to each Order independently and does not aggregate across separate Orders. CTRL Vision's sales team retains discretion to offer adjusted pricing on a case-by-case basis. All pricing is exclusive of applicable taxes, shipping, and duties.
All Camera hardware purchases are processed through PayPal. By placing an Order, you authorize CTRL Vision to charge the applicable amount to your designated PayPal account. Orders are subject to acceptance by CTRL Vision and availability of inventory. We reserve the right to refuse or cancel any Order at our sole discretion.
CTRL Vision will ship Camera units to the delivery address specified in the Order. Risk of loss and title to the Camera hardware transfer to the Venue Operator upon delivery to the carrier. Shipping costs and delivery timeframes will be communicated at the time of Order. CTRL Vision is not responsible for delays caused by the carrier, customs, or other circumstances beyond our reasonable control.
The Venue Operator is solely responsible for the physical installation and mounting of the Camera System at its Venue. CTRL Vision will provide installation guidance through documentation and the Application. The Venue Operator must ensure that the Camera is installed in accordance with our specifications, including positioning, angle, mounting security, and environmental conditions. Improper installation may void the hardware warranty and may result in degraded System performance. CTRL Vision is not responsible for any damage, injury, or loss arising from improper installation.
The Camera System requires a stable WiFi network connection for the upload of Footage after each game session. Footage is captured and stored locally on the Camera device during gameplay and is transmitted to our cloud processing infrastructure upon session completion. The Venue Operator is solely responsible for providing and maintaining adequate network infrastructure at the Venue, including sufficient bandwidth, network stability, and security. CTRL Vision provides recommended minimum network specifications in our installation documentation. CTRL Vision is not responsible for System performance degradation, upload failures, or data loss resulting from inadequate, intermittent, or unavailable network connectivity at the Venue.
CTRL Vision warrants that each Camera unit will be free from material defects in materials and workmanship under normal use for a period of twelve (12) months from the date of delivery (the "Warranty Period"). During the Warranty Period, if a Camera unit is found to be defective, CTRL Vision will, at its sole option, repair or replace the defective unit at no charge to the Venue Operator. This warranty does not cover damage resulting from misuse, improper installation, unauthorized modification, environmental conditions, power surges, water damage, or normal wear and tear.
The Camera System incorporates third-party components, including Raspberry Pi computing modules, Arducam image sensors, and Edmund Optics lenses. These components may be subject to their own warranty terms provided by their respective manufacturers. CTRL Vision makes no independent warranty with respect to these third-party components beyond the limited hardware warranty set forth in Section 4.7. CTRL Vision does not endorse and is not affiliated with Raspberry Pi, Arducam, or Edmund Optics.
The Venue Operator shall not disassemble, reverse engineer, modify, tamper with, or alter the Camera hardware or firmware in any way. The Venue Operator shall not remove, obscure, or alter any serial numbers, labels, or proprietary notices on the Camera. Any unauthorized modification or tampering voids the hardware warranty and may result in termination of the Subscription and Services.
Defective Camera units within the Warranty Period may be returned for repair or replacement pursuant to our Return Merchandise Authorization (RMA) process. To initiate an RMA, contact us at tom@ctrl.vision with your Order number and a description of the defect. CTRL Vision will provide return shipping instructions. Camera units returned without prior authorization will not be accepted. Non-defective Camera units are not eligible for return or refund after thirty (30) days from delivery.
Access to the Platform, cloud processing, AI-generated Highlights and Analytics, and ongoing software features requires an active Subscription. Subscriptions are billed on a monthly basis per Camera unit. The standard Subscription rate is $100.00 USD per Camera per month for installations of fewer than twenty (20) Cameras. The rate decreases on a linear sliding scale to $50.00 USD per Camera per month for installations of twenty (20) or more Cameras. Pricing is determined at the time of Subscription activation and is subject to adjustment in accordance with Section 5.5. CTRL Vision's sales team retains discretion to offer adjusted Subscription pricing.
Subscription fees are processed through Stripe. By activating a Subscription, you authorize CTRL Vision to charge the applicable Subscription fee to your designated payment method through Stripe on a recurring monthly basis. Billing occurs on the same day each month as the original Subscription activation date. You are responsible for ensuring that your payment method is current and that sufficient funds are available.
If a Subscription payment fails, CTRL Vision will attempt to process the payment up to three (3) additional times over a period of ten (10) business days. We will notify you of the failed payment via email. If payment is not successfully processed within this period, your Subscription may be suspended. During suspension, the Camera System will continue to capture Footage locally, but cloud processing, Highlights generation, Analytics, and Platform access will be unavailable. Service will be restored upon successful payment of all outstanding fees.
Either party may cancel a Subscription at any time by providing written notice at least thirty (30) days prior to the next billing cycle. Upon cancellation: (a) the Venue Operator retains ownership of the Camera hardware; (b) access to the Platform, cloud processing, and AI features will terminate at the end of the current billing period; (c) existing End User Footage and Highlights will remain accessible for a period of ninety (90) days following cancellation, after which they may be deleted; and (d) the Venue Operator is responsible for informing End Users of the impending loss of access. No refunds will be issued for partial billing periods.
CTRL Vision reserves the right to modify Subscription pricing upon sixty (60) days' written notice to the Venue Operator. Price changes will take effect at the beginning of the next billing cycle following the notice period. If the Venue Operator does not agree to the new pricing, they may cancel the Subscription in accordance with Section 5.4.
CTRL Vision will use commercially reasonable efforts to maintain Platform availability. However, we do not guarantee uninterrupted, error-free, or continuous access to the Services. The Services may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control. We will endeavor to provide advance notice of planned maintenance where practicable.
CTRL Vision reserves the right to modify, update, or discontinue any feature or functionality of the Services at any time. We will provide reasonable notice of material changes that significantly reduce the functionality of the Services. Continued use of the Services following any modification constitutes acceptance of the changes.
Subject to your compliance with these Terms, CTRL Vision grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on compatible devices solely in connection with the Services. This license does not convey any ownership interest in the Application.
The Application provides functionality for Camera System setup and configuration, account management, End User consent collection, footage viewing, and access to Highlights and Analytics. The Application is an integral part of the System and is required for initial setup and ongoing use of the Services.
The Application includes a mandatory consent workflow that must be completed by each End User prior to being recorded by the Camera System. This consent workflow includes: (a) acknowledgment of being recorded; (b) agreement to these Terms; (c) consent to the use of Footage as described herein; and (d) for End Users under the age of eighteen (18), a guardian consent mechanism requiring a parent or legal guardian to provide consent on the minor's behalf. The Venue Operator must ensure that this consent workflow is completed by every End User before any recording commences.
CTRL Vision may release updates to the Application from time to time. Some updates may be required for continued use of the Services. You agree to install required updates in a timely manner. We are not responsible for any degradation in performance resulting from the use of outdated Application versions. We do not guarantee compatibility with all devices, operating systems, or configurations.
You shall not: (a) copy, modify, distribute, sell, or lease any part of the Application; (b) reverse engineer, decompile, or disassemble the Application; (c) attempt to extract the source code of the Application; (d) use the Application for any purpose other than in connection with the Services; (e) use any automated means, including bots, scrapers, or crawlers, to access or interact with the Application; or (f) circumvent any security features or access controls within the Application.
The End User who is the subject of the Footage retains ownership of their Footage and Highlights. The End User grants the Venue Operator a limited, non-exclusive license to use the Footage in connection with the Venue Operator's operation of the System and the Venue Operator's business purposes, subject to applicable law and these Terms.
By using the Services, the End User and the Venue Operator each grant CTRL Vision a worldwide, non-exclusive, royalty-free, perpetual (subject to the opt-out right described in Section 8.3), irrevocable license to use, reproduce, process, store, transmit, host, and display Footage for the following purposes: (a) providing, operating, and maintaining the Services; (b) generating Highlights and Analytics; (c) improving, developing, and training our AI models and algorithms, as further described in Section 8; (d) producing anonymized, aggregated data and analytics for internal research and product development; and (e) complying with legal obligations.
Highlights and Analytics are generated by CTRL Vision's proprietary AI algorithms. While the End User retains ownership of the underlying Footage from which Highlights are derived, the specific creative and algorithmic expression embodied in the Highlights is generated by CTRL Vision's technology. End Users are granted a non-exclusive, worldwide license to use, share, download, and distribute their Highlights for personal, non-commercial purposes. Venue Operators are granted a non-exclusive license to use Highlights generated at their Venue for their own marketing and promotional purposes, provided they comply with applicable privacy laws and obtain any required End User consent.
CTRL Vision retains all right, title, and interest in and to the Services, including the Camera hardware design, firmware, the Application, the Platform, all AI and machine learning models, algorithms, software, trademarks, trade secrets, and all related intellectual property rights. Nothing in these Terms transfers or assigns any intellectual property rights to the Venue Operator or End User except the limited licenses expressly granted herein. All AI models developed or improved using Footage or other data collected through the Services are and shall remain the sole and exclusive property of CTRL Vision.
If you provide CTRL Vision with any feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you hereby assign to CTRL Vision all right, title, and interest in such Feedback. CTRL Vision is free to use, incorporate, and commercialize Feedback without restriction, attribution, or compensation.
End User Footage and Highlights are stored on the Platform and remain accessible indefinitely, subject to: (a) the End User's right to request deletion as described in Section 10.4; (b) the Venue Operator maintaining an active Subscription (see Section 5.4 for post-cancellation retention); and (c) CTRL Vision's right to remove Content that violates these Terms. CTRL Vision reserves the right to establish storage limits or archival policies and will provide reasonable notice before implementing any changes that materially affect Content availability.
CTRL Vision respects the intellectual property rights of others. If you believe that any Content available through the Services infringes your copyright or other intellectual property rights, please submit a notice to tom@ctrl.vision containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing Content; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement under penalty of perjury that your notice is accurate. We will respond to valid notices in accordance with applicable law.
CTRL Vision uses artificial intelligence and machine learning technologies to process Footage and generate Highlights and Analytics. Our AI systems analyze ball trajectories, pin outcomes, table dynamics, and gameplay patterns. The primary focus of our AI training and analysis is on the physics of the game — the path of the ball, the outcome at the pins, and related mechanics — rather than on the identification, tracking, or analysis of human subjects. End Users may be incidentally visible in Footage that is used for AI training, but the training data and models are focused on game mechanics and outcomes.
We use Footage collected through the Services to train, improve, and develop our AI and machine learning models. This training enables us to improve the quality of Highlights, the accuracy of Analytics, and the overall performance of the System. The models developed through this training are the proprietary intellectual property of CTRL Vision. We do not use Footage to develop facial recognition, biometric identification, or any technology designed to identify, track, or profile individual persons.
End Users may opt out of having their Footage used for AI training purposes by sending a written request to tom@ctrl.vision. Upon receiving a valid opt-out request, CTRL Vision will: (a) exclude the requesting End User's Footage from all future AI training activities; and (b) use commercially reasonable efforts to exclude existing Footage of the requesting End User from current training datasets where technically feasible. Please note that AI models that have already been trained using Footage prior to the opt-out request may have incorporated patterns derived from that Footage. Because machine learning models do not store identifiable footage and our training focuses on ball path and game mechanics rather than individual persons, complete retroactive removal from trained model weights is not technically feasible. The opt-out will be honored prospectively and for existing datasets to the greatest extent possible.
Highlights, Analytics, and all other AI-generated outputs are produced by automated systems and may contain errors, inaccuracies, or omissions. CTRL Vision does not guarantee the accuracy, completeness, or reliability of any AI-generated content. AI-generated outputs are provided for informational and entertainment purposes and should not be relied upon for professional, competitive, or consequential decision-making.
CTRL Vision does not collect, capture, store, or process biometric data as defined by applicable biometric privacy laws, including but not limited to the Illinois Biometric Information Privacy Act (BIPA). Our AI systems do not perform facial recognition, facial geometry analysis, retina or iris scanning, voiceprint analysis, or any other biometric identifier processing. The Camera System is designed to capture gameplay activity, not to identify or track individual persons.
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is available at ctrl.vision/privacy and is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.
In connection with the Services, we collect: (a) account information provided by Venue Operators and End Users during registration; (b) Footage captured by the Camera System; (c) technical data related to Camera performance, network conditions, and System diagnostics; (d) usage data from the Application and Platform; and (e) payment information processed through PayPal and Stripe. We do not collect biometric data, and we do not perform facial recognition or identification.
Footage is transmitted to and processed on Google Cloud Platform ("GCP") infrastructure. GCP data centers are located in various jurisdictions worldwide. While CTRL Vision primarily targets customers in the United States, Footage and associated data may be processed in any country where GCP maintains infrastructure. By using the Services, you consent to the transfer and processing of your data on GCP infrastructure in any such jurisdiction. CTRL Vision maintains appropriate data processing agreements with GCP and implements industry-standard security measures to protect data during transmission and storage.
CTRL Vision implements commercially reasonable administrative, technical, and physical safeguards to protect personal information and Footage from unauthorized access, disclosure, alteration, and destruction. However, no system of data transmission or storage is completely secure, and we cannot guarantee the absolute security of your data. You acknowledge and accept this inherent risk.
CTRL Vision does not knowingly collect personal information from children under the age of thirteen (13) without verifiable parental consent. If we learn that we have collected personal information from a child under thirteen without proper consent, we will take steps to delete that information promptly. The Application's guardian consent workflow is designed to comply with the Children's Online Privacy Protection Act (COPPA) and similar laws. Venue Operators are responsible for ensuring that their use of the System complies with COPPA requirements at their Venue.
CTRL Vision is committed to compliance with applicable state privacy laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA), the Virginia Consumer Data Protection Act (VCDPA), and similar state legislation. Residents of these jurisdictions may have additional rights regarding their personal information, including the right to know, access, delete, correct, and opt out of the sale or sharing of personal information. To exercise these rights, contact us at tom@ctrl.vision. We will respond to verified requests within the timeframes required by applicable law.
In the event of a data breach affecting personal information, CTRL Vision will notify affected individuals and applicable regulatory authorities in accordance with the requirements of applicable federal and state law.
By using the System at a participating Venue, End Users consent to being recorded by the CTRL Vision Camera System. Consent is obtained through: (a) conspicuous signage displayed at each lane or table equipped with a Camera, which provides notice that video recording is in progress; and (b) the in-app consent workflow within the Application, which requires affirmative acknowledgment before any Footage is captured. End Users who do not consent to being recorded should not use lanes or tables equipped with the CTRL Vision Camera System.
The Camera System is designed to capture activity at the specific lane or table where it is installed. Based on camera angles and system design, the System is intended to minimize the incidental capture of individuals who are not active participants using the System at that lane or table. However, CTRL Vision cannot guarantee that non-participating individuals will never be incidentally visible in Footage due to the physical layout of Venues, proximity of lanes or tables, and real-world conditions. Any such incidental capture is unintentional. Incidentally captured footage of non-consenting individuals will not be knowingly used for AI training purposes.
End Users have the right to: (a) access and view their Footage, Highlights, and Analytics through the Platform; (b) download and share their Highlights for personal, non-commercial purposes; (c) request deletion of their Footage and Highlights in accordance with Section 10.4; (d) opt out of AI training use of their Footage in accordance with Section 8.3; and (e) exercise any additional rights afforded by applicable privacy law.
End Users may request the deletion of their Footage and Highlights, or alternatively request that their likeness be blurred in existing Footage, by contacting CTRL Vision at tom@ctrl.vision. CTRL Vision will honor valid deletion or blurring requests within thirty (30) calendar days of receipt. Upon deletion, the Footage and associated Highlights will be permanently removed from the Platform. Where an End User requests blurring rather than deletion, CTRL Vision will apply facial and identifying feature blurring to the relevant Footage and Highlights within thirty (30) calendar days. CTRL Vision will use commercially reasonable efforts to ensure completeness of deletion or blurring but cannot guarantee complete removal from all backup systems and caches immediately.
Venue Operators set their own pricing for End User access to the System and related services at their Venue. CTRL Vision has no involvement in, control over, or responsibility for the pricing charged by Venue Operators to End Users. All disputes regarding pricing, refunds, or charges between End Users and Venue Operators are solely between those parties. CTRL Vision shall not be a party to, or liable in connection with, any such dispute.
The Venue Operator shall display clear, conspicuous signage at every lane or table equipped with a CTRL Vision Camera System. Signage must be prominently visible to all individuals approaching or using the equipped lane or table and must clearly state that video recording is in progress, the purpose of the recording, and how individuals can learn more or exercise their rights. CTRL Vision will provide signage templates and guidelines; however, the Venue Operator is responsible for ensuring that signage complies with all applicable local, state, and federal laws.
The Venue Operator is responsible for ensuring that every End User completes the in-app consent workflow through the Application prior to any recording. The Venue Operator shall not permit the Camera System to record any individual who has not completed the consent process. For End Users under the age of eighteen (18), the Venue Operator must ensure that the guardian consent process within the Application has been completed by a parent or legal guardian.
The Venue Operator shall comply with all applicable local, state, federal, and international laws and regulations in connection with its use of the System, including but not limited to laws governing video recording, privacy, data protection, consumer protection, and the protection of minors. The Venue Operator is solely responsible for determining and complying with the legal requirements applicable to video recording at its Venue, including any notice or consent requirements under state recording or wiretapping laws.
The System shall be used solely for the purpose of recording and analyzing bowling or snooker gameplay at the Venue Operator's facility. The Venue Operator shall not use the System for general surveillance, security monitoring, employee monitoring, law enforcement purposes, or any purpose other than the intended recreational and analytical use of the Services.
The Venue Operator is solely responsible for providing and maintaining the network infrastructure required for the System to upload Footage to the cloud. This includes WiFi connectivity meeting CTRL Vision's recommended specifications, adequate bandwidth, and network security. CTRL Vision is not responsible for any failure or degradation of the Services resulting from the Venue Operator's network infrastructure.
The Venue Operator shall maintain, at its own expense, commercial general liability insurance with a minimum coverage of $1,000,000.00 USD per occurrence and $2,000,000.00 USD in the aggregate, covering claims arising from the operation of the System at the Venue, including bodily injury and property damage. The Venue Operator shall provide proof of insurance upon CTRL Vision's request and shall name CTRL Vision as an additional insured on such policy.
The Venue Operator is solely responsible for establishing and communicating the pricing it charges to End Users for access to the System at the Venue. CTRL Vision does not set, approve, or control End User pricing. The Venue Operator shall comply with all applicable consumer protection laws in connection with its pricing and billing practices.
Camera hardware purchases are processed through PayPal. Subscription payments are processed through Stripe. By providing payment information, you authorize the applicable payment processor to charge the fees owed under these Terms. You are responsible for all fees, charges, and taxes associated with your use of the Services.
All prices quoted are exclusive of applicable federal, state, local, and foreign taxes, duties, and levies. The Venue Operator is responsible for all taxes associated with the purchase of Camera hardware and Subscription services, except for taxes based on CTRL Vision's net income. If CTRL Vision is required to collect taxes, they will be added to the invoice or charge.
Amounts not paid when due will accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. CTRL Vision reserves the right to suspend access to the Services for any account with past-due balances exceeding thirty (30) days.
If you believe any charge is incorrect, you must notify CTRL Vision in writing at tom@ctrl.vision within thirty (30) days of the charge. Failure to dispute a charge within this period constitutes acceptance of the charge. CTRL Vision will investigate disputed charges in good faith and issue credits or refunds where appropriate.
Payments are processed by PayPal and Stripe, each of which is subject to its own terms of service and privacy policy. CTRL Vision is not responsible for the acts, omissions, or policies of these payment processors. Any disputes with a payment processor should be directed to that processor.
You agree not to use the Services for any of the following purposes:
Using the Camera System for surveillance, security monitoring, employee monitoring, or any purpose other than the intended recreational capture and analysis of bowling or snooker gameplay.
Recording in areas where individuals have a reasonable expectation of privacy, including but not limited to restrooms, changing areas, break rooms, or private offices.
Using the Services in any manner that violates applicable local, state, federal, or international law or regulation.
Uploading, distributing, or making available any Content that is illegal, defamatory, obscene, harassing, threatening, or that infringes the intellectual property or privacy rights of any third party.
Attempting to access, view, download, or manipulate Footage, Highlights, or Analytics belonging to other End Users or Venue Operators without authorization.
Using any automated means, including bots, scrapers, or crawlers, to access, extract, or collect data from the Services.
Circumventing, disabling, or interfering with any security, access control, or technical protection measures of the Services.
Reselling, sublicensing, or otherwise commercially exploiting access to the Platform or any Content without CTRL Vision's prior written consent.
Using the Services to harass, stalk, threaten, or harm any individual.
Interfering with or disrupting the integrity, performance, or availability of the Services or any related systems or networks.
Using the System in any manner inconsistent with CTRL Vision's documentation, instructions, or intended use.
CTRL Vision reserves the right to investigate and take appropriate action against any violation of this Section, including suspension or termination of access to the Services without notice or refund.
The limited hardware warranty is set forth in Section 4.7 of these Terms.
EXCEPT FOR THE EXPRESS LIMITED HARDWARE WARRANTY SET FORTH IN SECTION 4.7, THE SERVICES, INCLUDING THE APPLICATION, PLATFORM, AI-GENERATED CONTENT, HIGHLIGHTS, ANALYTICS, AND ALL RELATED SOFTWARE AND TECHNOLOGY, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTRL VISION DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the generality of Section 14.2, CTRL Vision does not warrant that: (a) the Services will be uninterrupted, secure, error-free, or available at any particular time or location; (b) any defects or errors will be corrected; (c) the AI-generated Highlights or Analytics will be accurate, complete, or reliable; (d) the quality of the Services will meet your expectations; or (e) the Camera System will be compatible with your specific network, facility, or environmental conditions.
CTRL Vision makes no representations or warranties regarding any third-party products, services, or components, including Raspberry Pi, Arducam, Edmund Optics, Google Cloud Platform, PayPal, or Stripe. Any reliance on third-party products or services is at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CTRL VISION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT CTRL VISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTRL VISION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO CTRL VISION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND DOLLARS ($1,000.00 USD).
Without limiting the foregoing, CTRL Vision shall not be liable for: (a) any failure or degradation of the Services resulting from inadequate network infrastructure at the Venue; (b) any loss of Footage resulting from local storage failures, network disruptions, or power outages; (c) the acts, omissions, or failures of third-party service providers, including GCP, PayPal, and Stripe; (d) any claims arising from the Venue Operator's failure to obtain proper consent from End Users; or (e) any claims arising from the Venue Operator's pricing, billing, or business practices with End Users.
The limitations in this Section 15 do not apply to: (a) either party's indemnification obligations; (b) either party's breach of confidentiality obligations; (c) CTRL Vision's intellectual property rights; or (d) liability that cannot be limited or excluded under applicable law.
The Venue Operator agrees to indemnify, defend, and hold harmless CTRL Vision, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Venue Operator's failure to obtain proper consent from End Users, including guardian consent for minors; (b) the Venue Operator's failure to display required signage; (c) the Venue Operator's failure to comply with applicable laws and regulations; (d) any claims by End Users arising from the Venue Operator's pricing, billing, or business practices; (e) the Venue Operator's use of the System for any purpose not authorized by these Terms; (f) any property damage or bodily injury arising from the installation, maintenance, or operation of the Camera System at the Venue; and (g) any breach of these Terms by the Venue Operator or its authorized users.
CTRL Vision agrees to indemnify, defend, and hold harmless the Venue Operator from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any claim that the CTRL Vision technology (excluding third-party components) infringes a valid United States patent, copyright, or trademark of a third party; or (b) CTRL Vision's gross negligence or willful misconduct. CTRL Vision's indemnification obligation under clause (a) shall not apply if the alleged infringement results from modification of the System by the Venue Operator, use of the System in combination with third-party products not authorized by CTRL Vision, or use of the System in a manner not contemplated by these Terms.
The party seeking indemnification (the "Indemnified Party") shall: (a) provide prompt written notice to the indemnifying party (the "Indemnifying Party") of the claim; (b) grant the Indemnifying Party sole control of the defense and settlement of the claim; and (c) provide reasonable cooperation at the Indemnifying Party's expense. The Indemnified Party may participate in the defense at its own expense. The Indemnifying Party shall not settle any claim in a manner that admits fault on behalf of the Indemnified Party or imposes obligations on the Indemnified Party without the Indemnified Party's prior written consent.
These Terms are effective upon your first use of the Services or acceptance of these Terms, whichever occurs first, and remain in effect until terminated in accordance with this Section.
Either party may terminate these Terms at any time by providing thirty (30) days' written notice to the other party. Termination for convenience does not relieve the Venue Operator of its obligation to pay any fees accrued prior to the effective date of termination.
Either party may terminate these Terms immediately upon written notice if: (a) the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice thereof; (b) the other party becomes insolvent, files for bankruptcy, or has a receiver appointed for a substantial portion of its assets; or (c) the other party engages in conduct that is illegal or that reasonably could be expected to bring the non-breaching party into disrepute.
Upon termination of these Terms: (a) the Venue Operator retains ownership of the Camera hardware; (b) all licenses granted to the Venue Operator under these Terms terminate immediately, including the right to use the Application, Platform, and all Software components; (c) the Venue Operator must cease all use of the System for recording purposes; (d) End User Footage and Highlights will remain accessible on the Platform for ninety (90) days following termination, after which CTRL Vision may delete such Content; (e) CTRL Vision's license to use Footage for AI training and model improvement survives termination to the extent described in Section 7.2, subject to the opt-out right in Section 8.3; and (f) the Venue Operator shall pay all outstanding fees within thirty (30) days of the termination date.
The following Sections shall survive any termination or expiration of these Terms: Sections 1 (Definitions), 7 (Footage, Content, and Intellectual Property), 8 (AI and Machine Learning Disclosure), 9 (Privacy and Data Protection), 14 (Warranties and Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 18 (Dispute Resolution), and 21 (General Provisions).
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Before initiating any formal dispute resolution proceeding, the parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiation. The party raising the dispute shall send written notice to the other party describing the dispute and the proposed resolution. The parties shall engage in good-faith negotiations for a period of not less than sixty (60) days from the date of such notice.
If a dispute cannot be resolved through informal negotiation within the period described in Section 18.2, the dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, appointed by the AAA. The seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CTRL VISION EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY DISPUTE ARISING UNDER THESE TERMS. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm. Additionally, either party may bring individual claims in small claims court if the claims fall within the court's jurisdictional limits.
Any claim arising under or related to these Terms must be commenced within one (1) year after the cause of action accrues, or the claim shall be permanently barred. This limitation does not apply to claims for which a shorter or longer limitations period is prescribed by applicable law that cannot be contractually modified.
The Services rely on and integrate with third-party products and services, including but not limited to: (a) Google Cloud Platform for cloud computing and data processing; (b) PayPal for hardware purchase payment processing; (c) Stripe for Subscription payment processing; and (d) third-party hardware components from Raspberry Pi, Arducam, and Edmund Optics. Your use of these third-party services may be subject to their respective terms of service and privacy policies.
CTRL Vision's use of third-party products and services does not constitute an endorsement of, or affiliation with, those third parties. CTRL Vision is not responsible for the availability, performance, accuracy, security, or policies of any third-party service.
CTRL Vision shall not be liable for any interruption, failure, or degradation of the Services caused by outages, errors, or changes in third-party services, including GCP infrastructure outages, payment processor downtime, or changes in third-party APIs or terms.
The Platform may contain links to third-party websites or resources. CTRL Vision provides these links for convenience only and does not control or endorse the content, products, or services available through those links. Your use of third-party websites is at your own risk and subject to those sites' terms and policies.
The Camera System and associated software may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer the Camera System or any component thereof, directly or indirectly, in violation of applicable export control laws. You represent and warrant that you are not located in, and will not export or re-export the Camera System to, any country subject to United States trade sanctions or embargoes.
The legal requirements for video recording vary by jurisdiction. Some jurisdictions may require all-party consent for audio recording, impose restrictions on video surveillance, or have specific requirements for signage and notification. The Venue Operator is solely responsible for understanding and complying with all recording laws applicable in its jurisdiction. CTRL Vision provides general guidance but does not provide legal advice and does not warrant that the use of the System will comply with any particular jurisdiction's laws.

The Services are primarily designed for and targeted at customers in the United States. If you access or use the Services from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws. CTRL Vision makes no representation that the Services are appropriate or available for use in any particular jurisdiction.
These Terms, together with the Privacy Policy, any Order forms, and any additional terms referenced herein, constitute the entire agreement between you and CTRL Vision with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by the waiving party.
CTRL Vision may assign or transfer these Terms, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. You may not assign or transfer these Terms, or any rights or obligations hereunder, without CTRL Vision's prior written consent. Any purported assignment in violation of this Section shall be null and void.
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government actions, power failures, internet disruptions, or failures of third-party services. The affected party shall provide prompt notice and use commercially reasonable efforts to mitigate the impact.
All notices under these Terms shall be in writing and shall be deemed given when: (a) delivered personally; (b) sent by email to the address associated with your account (for notices to you) or to tom@ctrl.vision (for notices to CTRL Vision); or (c) sent by certified mail, return receipt requested, to the party's registered address. Notices to CTRL Vision may also be sent to the mailing address set forth in Section 22.
The relationship between CTRL Vision and the Venue Operator is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties. Neither party has the authority to bind the other or incur obligations on the other's behalf.
By using the Services, you consent to receiving electronic communications from CTRL Vision, including emails, notifications through the Application, and postings on the Platform. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
These Terms are intended for the benefit of the parties hereto and do not confer any third-party beneficiary rights upon any other person or entity, except that End Users are intended third-party beneficiaries of the provisions specifically granting them rights under these Terms.
